Contractual techniques

Every contract concerning the different types of Industrial Property Rights and Copyright as well as new technologies requires specific forms of preciseness, especially related to the immaterial nature of industrial property rights.
For example, because assets are immaterial, it is important to identify what is to be transferred in an accurate way.
Moreover, in order to be enforceable on third parties, titles concerned by contracts on industrial property rights must be recorded in the National Register.

Moreover, as an example, license contracts, which authorise a third party to exploit or use an industrial property right under specific conditions, must not only include the traditionally required clauses, but also specific clauses depending on the title concerned. Can the owner of the rights continue to exploit the license ? Can the licensee bring an infringement complaint for example ?
